This policy is optional for charter schools. Nonprofit corporation law governs many aspects of board governance. This policy should be drafted to augment (rather than restate) the bylaws and provide any detail missing in the bylaws relating to the board’s annual meeting. The bylaws typically provide details relating to the annual meeting, although it is not a required element. Therefore, the policy drafter must carefully review the school’s bylaws and articles of incorporation to ensure this policy is consistent with them. It is advisable to consult legal counsel to ensure consistency and legality.
